Advertising Agreement
PART A: General Terms and Provisions
This Advertising Insertion Order ("Agreement") is a contract between Advertiser and OOO.com and hereafter referred to as "OOO", for the placement of Advertiser's advertisement(s) on the Website. All contracts are approved and accepted in the jurisdiction of British Columbia, Canada. By signing "I have read and agree to the terms" of this Agreement, and for good and sufficient consideration, receipt of which is hereby acknowledged, Advertiser makes the following warranties and representations to OOO and its licensors, licensees, successors and assigns, and agrees to be strictly bound by the following general terms and provisions.
1. Advertiser's Assurances. Advertiser hereby represents and warrants that Advertiser (a) is 18 years of age or older; (b) has read, understood, and agrees to be bound by all terms of this Agreement, front and back; and (c) owns, controls and is duly authorized to grant the rights and permissions which are granted below.
2. Advertiser Content. Advertiser hereby warrants and represents that all words, images, sounds and/or other matter provided by Advertiser for use in connection with
Advertiser's advertisements on the Website ("Advertiser Content") are owned wholly and solely by Advertiser, are lawful, accurate and authentic, depict the name (whether given or assumed), image, likeness, voice, signature, personality or other characteristics of Advertiser only and no other person, and may be freely used without risk of liability for any purpose contemplated under this Agreement, including but not limited to liability for obscenity, defamation, invasion of privacy, infringement of copyright, trademark, or right of publicity, or otherwise.
3. Advertising Guidelines. Advertiser represents, warrants, acknowledges and agrees as follows: (a) OOO do not engage in, or provide advertising for any illegal activities of any kind, including but not limited to solicitation of prostitution and/or
prostitution; (b) OOO shall enjoy the right to rescind this Agreement and remove Advertiser's advertising from the Website without refund or further obligation in the event that OOO determines that Advertiser is in breach of any term of this Agreement or the OOO Advertising Guidelines, including but not limited to a determination that Advertiser has used the advertising in connection with any illegal activities of any kind.
4. Advertising Policies. All contracts and advertising subscriptions are deemed as transacted in the Province of British Columbia, Canada. Advertiser acknowledges and agrees as follows: OOO enjoys the right to decline or remove Advertiser's
advertisement(s), or any portion thereof, from the Website if, in the sole discretion of OOO, Advertiser's advertisement(s) is in violation of the OOO Advertising Guidelines or is deemed otherwise inappropriate.
6. Arbitration. If any dispute shall arise between Advertiser and OOO regarding any aspect of this Agreement, such disputes shall be referred to binding private arbitration in the Province of British Columbia, Canada, and any arbitration award shall be fully enforceable as a judgment in any court of competent jurisdiction.
Picture Agreement
For and in consideration of my advertising with OOO, I hereby grant to you, your assigns, licensees and legal representatives, and their assigns and licensees, including, without limitation, those for whom you are acting, and those acting with your authority and permission, the absolute and irrevocable right and permission to copyright and use, all photographs of me or in which I may be included, whether in whole or in part, through my mutual consent. This grant shall also include the right to change or alter, from time to time, all such photographs, for the purpose of advertising both in print and on the Internet.

上述手續(xù)或材料以保證人實際要求的為準(zhǔn),并且為保證人應(yīng)享有的權(quán)利而非義務(wù),有關(guān)手續(xù)或材料是否完全齊備對本協(xié)議效力不構(gòu)成影響。
The provision of the above formalities or materials shall be based upon the actual request of the Guarantor, which is a right entitled to but not a duty assumed by the Guarantor, and their completeness and fullness will not affect the legal force of the Agreement.

2.9委托人同意按本協(xié)議規(guī)定,按期足額支付上述保函項下的依照保證人要求應(yīng)付的各項費用;
2.9 The Client agrees to duly pay in full any expenses payable under the above letter of guarantee upon request of the Guarantor according to the provisions of the Agreement;
2.10 委托人同意保證人僅有義務(wù)審核保函項下受益人提交的索賠文件、單據(jù)或證明(以下統(tǒng)稱“索賠文件”)的表面真實性,而不對索賠文件所述事實的真實性負(fù)任何責(zé)任;

2.11 The Client agrees to deposit adequate fund from time to time upon request of the Guarantor where the guarantee fund account falls short due to any movement or would-be movement of exchange rates or any amendment to the letter of guarantee, and such fund shall be deemed as designated and handed over to the occupancy of the Guarantor as of the date when it is deposited into the guarantee fund account as the pledge guarantee for the Client to perform each obligation under the Agreement;

2.13 The Client undertakes to submit the Guarantor with any financial data required for post-loan examination and any materials related to the guarantee business quarterly.

一、甲方委托乙方服務(wù)事項
甲方因融資 萬元事宜,委托乙方就融資方式、對象選擇、操作辦法、風(fēng)險防范措施等事宜,委托乙方提供咨詢服務(wù)。
二、乙方服務(wù)內(nèi)容
1、幫助甲方聯(lián)系或者尋找適合甲方融資需求的對象;2、對甲方擬進行的融資方案進行可行性論證;3、幫助或者代理甲方與潛在的融資對象進行初步的商業(yè)談判或者協(xié)商;4、根據(jù)融資意向兩方的具體情況,為甲方擬定融資參考方案;5、幫助或者指導(dǎo)甲方準(zhǔn)備融資方案執(zhí)行過程中所需的基本資料。
三、咨詢服務(wù)費
就乙方提供的咨詢服務(wù),甲方向乙方支付的報酬為:甲方按實際取得融資額的 %向乙方支付服務(wù)費。服務(wù)費在融資通過審批并取得前一次性向乙方支付。
四、乙方服務(wù)期限
乙方收取甲方按本合同約定支付的服務(wù)費后,為甲方提供的服務(wù)至以下條件之一出現(xiàn)時止:
、 甲方與合作對方實現(xiàn)成功合作,即甲方與合作對方主要合作合同簽訂;⑵ 甲方以書面形式通知乙方放棄融資計劃;⑶ 甲方已經(jīng)實際失去融資條件;⑷ 甲方三次以上放棄與乙方聯(lián)系的客戶進行實質(zhì)性談判,合同范本《商務(wù)咨詢費合同范本》。
五、保密
為履行本合同,甲方向乙方提供的`融資信息、關(guān)于主體與資信情況的信息,經(jīng)甲方特別明示為保密信息的,乙方應(yīng)承擔(dān)保密責(zé)任,未經(jīng)甲方書面許可不得擅自向第三人提供或者泄露,但為履行本合同所必需的除外。
六、風(fēng)險承擔(dān)
1、乙方為履行本合同向甲方提供的所有信息、資料、方案與措施等均供甲方參考,對甲方使用后可能產(chǎn)生的風(fēng)險不承擔(dān)任何責(zé)任。2、乙方對幫助或者指導(dǎo)甲方所取得的合作對方的調(diào)查資料的真實性,對合作對象資信狀況與承擔(dān)責(zé)任的能力不作任何保證。3、乙方對所提供咨詢服務(wù)是否能使甲方實現(xiàn)擬融資目的不作任何保證,甲方支付費用后,不得以任何理由要求乙方全部或者部分返還。4、對甲方與合作對方之間的合作合同的履行,乙方不承擔(dān)任何責(zé)任。
七、違約責(zé)任
1、甲方逾期支付費用的,乙方有權(quán)在收到費用前暫停履行本合同約定義務(wù)。2、甲方逾期支付服務(wù)費的,應(yīng)按逾期支付金額每日千分之二向乙方支付違約金。3、乙方收到甲方費用后拒不提供本合同約定服務(wù)的,應(yīng)全額退還甲方已支付服務(wù)費。
八、爭議解決方式
因履行本合同發(fā)生爭議兩方不能協(xié)商解決時,任何一方認(rèn)為需通過訴訟方式解決的,由乙方所在地人民法院管轄。
十、其他
1、對本合同的修改需以書面方式進行,并且簽名代表人及印章應(yīng)與本合同簽名與印章相符。2、本合同一式貳份,兩方可執(zhí)一份具有同等法律效力。3、本合同經(jīng)兩方簽章生效。

Article 10 Inspection of Analysis & Weight
The shipmentinspection and analysis shall be done byCCICappointed by the Seller and one independent surveyor (i.e.: SGS or Geo-Chem, etc) appointed by the buyeras agreed by both parties at site before loading to container. While final weightand qualitydetermination shall be done atloadingportby the above joint-survey.Moisture content shall be deducted from the total weight shipped.
Article 11 Documents
Seller shall present the following documents to the buyer:
A. Signed Commercial Invoice for 100% of the total cargo value indicating, quantity, unit price and the total Amount of Value of the delivered commodity , 1 original and 3 copies.
B. Certificates of quantity, quality and weight issued byCCICand one independent surveyor appointed by the buyer.
C. Certificate of Origin issued by ABC Department Of Trade or concerned Government authorities, I original and 2 copies.
D. Weight List, showing total weight , 1 original and 3 copies.
E. Bill of Lading, 3 original copies and 3 non-negotiable copies.
Article 12 Force Majeure
The Seller shall not be responsible for the delay of shipment or non-delivery of the goods due to Force Majeureunder UCP 600. The seller shall advise the buyer immediately of the occurrence mentioned above and within 3 days thereafter the seller shall send a notice by courier to the buyer of their acceptance of a certificate of the accident issued by the local chamber of commerce under whose jurisdiction the accident occurs as evidence thereof. Under such circumstances the seller , however, are still under obligation to take all necessary measures to hasten the delivery of the goods. In case the accident lasts for more than 60 days the buyer shall have the right to cancel the Contract.
Article 13 Arbitration
All disputes arising out of or in connection with this Contract shall be finally resolved by arbitration in accordance with the Rules of Arbitration of the International Chamber of Commerce (UCP-600/20xx or Uniform Customs and Practice for Documentary Credits) by one or more arbitrators appointed in accordance with the said rules. The arbitration shall be conducted in ABCbythe English language.

7、雙方約定,本協(xié)議履行過程中,若因國家政策未獲批準(zhǔn)導(dǎo)致乙方無法購買該房地產(chǎn)的,雙方同意解除本協(xié)議互不承擔(dān)違約責(zé)任。甲方應(yīng)在收到本協(xié)議終止后的_ 5 個工作日內(nèi)退還乙方已支付的房款(含定金)。
If it is due to government actions which cause Party B not be able to purchase the property, both Parties agree to terminate this agreement without any breach by any party. In such an event Party

8、在本協(xié)議履行的過程中,若因甲方原因?qū)е卤緟f(xié)議無法履行,甲方應(yīng)雙倍返還定金;若因乙方原因?qū)е卤緟f(xié)議無法履行,乙方已支付的定金由甲方?jīng)]收。
During the course of this agreement, if Party A breaches the agreement, Party A shall return the deposit in double; if Party B breaches the agreement, the deposit paid by Party B shall be forfeited.
9、簽訂本協(xié)議后,甲、乙雙方任何一方或雙方未能履行本協(xié)議,導(dǎo)致雙方的買賣合同無法簽署的,違約方應(yīng)向丙方支付違約金,違約金數(shù)額為本協(xié)議第2條所述房價款的2%。
After signing this agreement, if either Party A or Party B or both paties fail to carry out this agreement, leading to the Shanghai Real Estate Sale & Purchase Contract not able to be signed, the party in breach of the agreement shall pay the penalty to Party C. The penalty is 2% of the actual price as contained in Article 2 of this agreement.
10、本協(xié)議用中文和英文寫成,兩種文字具有同等效力。上述兩種文字如有不符,以中文本為準(zhǔn)。
This agreement is written in Chinese and English, both versions should be equally valid. If there are differences between the two versions, the Chinese version shall prevail.
