12. 交貨原則
Delivery Policy
賣方在規(guī)定時(shí)間內(nèi)所送貨物必須符合訂單要求，送錯(cuò)或送少，應(yīng)及時(shí)更換或補(bǔ)貨，否則，所帶來(lái)的損失由賣方全部承擔(dān)。

13. 推遲交貨和罰款
Late Delivery and Penalty
如賣方?jīng)]有按照合同規(guī)定準(zhǔn)時(shí)交貨，買方同意賣方付給罰款。加入賣方交貨期超過(guò)7天，買方有權(quán)取消合同。取消合同的情況，賣方仍不能延誤付給買方上述罰款。
Should the Sellers fail to make delivery on time as stipulated in the Contract, the Buyers shall agree to postpone the delivery on condition that the Sellers agree to pay a penalty. In case the Sellers fail to make delivery later than 7 days, the Buyers have the right to cancel the Contract and the Sellers, in spite of the cancellation, shall still pay the aforesaid penalty to the Buyers without delay.
14. 不可抗力
Force Majeure
如因人力不可抗拒的原因造成本合同全部或部分不能履約，賣方概不負(fù)責(zé)，但賣方應(yīng)將上述發(fā)生的情況及時(shí)通知買方。
The sellers shall not hold any responsibility for partial or total non-performance of this contract due to Force Majeure. But the sellers shall advise the buyers on time of such occurrence.
15. 爭(zhēng)議的處理
Disputes Settlement
所有與此合同有關(guān)的爭(zhēng)議應(yīng)通過(guò)友好協(xié)商解決，如果協(xié)商不能解決，根據(jù)有關(guān)仲裁法則進(jìn)行仲裁。仲裁應(yīng)在深圳進(jìn)行且其結(jié)果對(duì)雙方均有約束力，任何一方均不應(yīng)向法院或其他政府部門申請(qǐng)以改變仲裁結(jié)果。仲裁費(fèi)由負(fù)方負(fù)擔(dān)。
All disputes in connection with this Contract or the execution thereof shall be settled friendly through negotiations. In case no settlement can be reached, the case shall be submitted for arbitration ，in accordance with its Rules of Arbitration. The arbitration shall take place in Shenzhen and the decision of the Arbitration Committee shall be final and binding upon both parties; neither party shall seek recourse to a law court nor other authorities to appeal for revision of the decision. Arbitration fee shall be borne by the losing party. Or the Arbitration may be settled in the third country mutually agreed upon by both parties.

D、如果有必要改變裝運(yùn)船只或者其到達(dá)日期，買方或其運(yùn)輸代理應(yīng)及時(shí)通知賣方。
E、如果船只不能在賣方通知的船期后 日內(nèi)到達(dá)裝運(yùn)港，買方應(yīng)承擔(dān)從第 日起發(fā)生的貨物倉(cāng)儲(chǔ)保管費(fèi)用和此期間的貨物保險(xiǎn)費(fèi)用。

賣方于本合同第六條規(guī)定的裝運(yùn)日期前天，以電報(bào)／信件把交貨預(yù)定期、合同號(hào)、品名、發(fā)票金額等通知買方。貨物交辦發(fā)運(yùn)，賣方即刻以電報(bào)／信件將合同號(hào)、品名、發(fā)票金額、交辦日期通知買方，以便買方及時(shí)投保。
第十三條．允許/不允許部分裝運(yùn)或轉(zhuǎn)運(yùn)。
第十四條．賣方有權(quán)在 ％數(shù)量?jī)?nèi)溢裝或短裝。 第十五條．質(zhì)量保證：
賣方保證：所供貨物，其質(zhì)量、規(guī)格和工藝符合本合同所作的說(shuō)明，標(biāo)明商標(biāo)的貨物包裝為新的.和未經(jīng)使用的。保證期為自貨到目的港卸貨完畢之日起12個(gè)月。在質(zhì)量保證期內(nèi)，凡因設(shè)計(jì)、制造工藝和所有材料而產(chǎn)生的缺陷，賣方應(yīng)自負(fù)費(fèi)用進(jìn)行修理或更換貨物。
第十六條．檢驗(yàn)：
在貨物運(yùn)抵最終目的地后，買方有權(quán)向向貨物檢驗(yàn)機(jī)構(gòu)申請(qǐng)對(duì)貨物進(jìn)行檢驗(yàn)。檢驗(yàn)機(jī)構(gòu)為中華人民共和國(guó)進(jìn)出口商品檢驗(yàn)局。
第十七條. 索賠：
自貨到目的港起天內(nèi)，經(jīng)發(fā)現(xiàn)貨物質(zhì)量、規(guī)格、數(shù)量、重量、包裝、安全或衛(wèi)生條件與合同規(guī)定不符者，除應(yīng)由保險(xiǎn)公司或船方承擔(dān)的部分外，買方可憑前條規(guī)定的檢驗(yàn)機(jī)構(gòu)所出具的商品檢驗(yàn)證書(shū)，有權(quán)要求更換或索賠。賣方應(yīng)在收到索賠要求后天內(nèi)回復(fù)買方。
貨到目的港起12個(gè)月內(nèi)，使用過(guò)程中由于材料質(zhì)量和工藝問(wèn)題而出現(xiàn)的損傷，買方應(yīng)當(dāng)立即以書(shū)面形式通知賣方并出具前條規(guī)定的檢驗(yàn)機(jī)構(gòu)開(kāi)列的檢驗(yàn)證書(shū)，提出索賠，賣方應(yīng)當(dāng)承擔(dān)違約責(zé)任。賣方應(yīng)在收到索賠要求后天內(nèi)回復(fù)買方。
第十八條． 不可抗力：
（1）在貨物制造和裝運(yùn)過(guò)程中，由于不可抗力的原因（如戰(zhàn)爭(zhēng)、嚴(yán)重火災(zāi)、水災(zāi)、臺(tái)風(fēng)和地震或其他由雙方認(rèn)可的事件）致使延期交貨或不能交貨，賣方概不負(fù)責(zé)。賣方于不可抗力事件發(fā)生后，應(yīng)立即通知買方并在事發(fā) 天內(nèi)，以航空郵件將事故發(fā)生所在地當(dāng)局簽發(fā)的證書(shū)寄交買方以作證據(jù)。
�。�2）在此情況下，買賣雙方應(yīng)當(dāng)根據(jù)具體情況確定合同是否能夠繼續(xù)履行以及賣方是否仍有責(zé)任采取必要措施促使盡快交貨。
�。�3）不可抗力事故發(fā)生后超過(guò) 天而合同尚未履行完畢，買方有權(quán)解除合同。
第十九條．合同延期和罰款：
除本合同十八條所述不可抗力原因外，賣方若不能按合同規(guī)定如期交貨，應(yīng)當(dāng)提前 通知買方，買方可同意延期交貨，且可以同時(shí)相應(yīng)減少議定的貨款支付金額，并通知付款銀行相應(yīng)減少議定的支付金額。該減少的部分作為合同延期履行的違約金，但違約金數(shù)額不得超過(guò)遲交貨物總額的5％。賣方若逾期10個(gè)星期仍不能交貨，買方有權(quán)解除合同，且有權(quán)要求賣方如期支付上述違約金。
第二十條．合同爭(zhēng)議的解決方式：
凡涉及本合同或因執(zhí)行本合同而發(fā)生的一切爭(zhēng)議，應(yīng)通過(guò)友好協(xié)商解決，如果協(xié)商不能解決，則可提交中國(guó)-西安仲裁委員會(huì)根據(jù)該會(huì)的仲裁規(guī)則和程序進(jìn)行仲裁。仲裁將在西安進(jìn)行，仲裁裁決是終局的，對(duì)雙方都有約束力。仲裁費(fèi)用由仲裁庭決定具體承擔(dān)。
第二十一條．附加條款： （1）法律適用： 本合同之簽訂地、或發(fā)生爭(zhēng)議時(shí)貨物所在地在中華人民共和國(guó)境內(nèi)或被訴人為中國(guó)法人時(shí)，適用中華人民共和國(guó)法律，除此規(guī)定外，適用《聯(lián)合國(guó)國(guó)際貨物銷售公約》/ 。
�。�2）本合同一式兩份，自雙方之日起生效，雙方各執(zhí)一份，具有同等法律效力。

七、其他費(fèi)用：

乙方應(yīng)承擔(dān)租賃期內(nèi)實(shí)際使用而產(chǎn)生的水、電、液化氣費(fèi)、電話費(fèi)并按單自行如期交納所屬管理公司或有關(guān)機(jī)構(gòu)。

八、甲方的責(zé)任：

8.1 甲方須按時(shí)將出租房屋及其家私家具用品與其設(shè)施以良好狀態(tài)交付乙方使用。
party a shall deliver on schedule to party bvacant possession of the leased property including the furniture,furnishing and appliances and the related facilities for party b’s use(furniture,furnishing and appliances to be detailed in appendisl.)
8.2 租賃期內(nèi)甲方不得收回出租房屋(除非本合同另有規(guī)定)，甲方保證乙方可不受干擾的享用該物業(yè)。
party a shall not repossess the leased property during the term of party a disturb of interfere with party b’s quiet enjoyment of the leased property.
8.3 在乙方遵守本合同的條款及支付租金的前提下，乙方有權(quán)于租賃期內(nèi)拒絕甲方或其他人騷擾而安靜享用出租房屋。
proviede that party b pays the rent and performs and observes party b’s terms and conditions in accordavce with this agreement, party b shall be entitled to hold and enjoy the leased property throughout the term of this tenancy without any interruption by party a or any other person.
8.4 租賃期內(nèi)出租房屋的結(jié)構(gòu)，進(jìn)出物業(yè)的排水、上下管道、電路等處于良好使用狀態(tài)。

九、乙方的責(zé)任：

9.1 乙方應(yīng)按合同的規(guī)定，按時(shí)支付租金，保證金及其他各項(xiàng)應(yīng)付費(fèi)用。
party b shall promptly pay all rent ,security deposit and other charges payable by it in accordance with the terms of this agreement.
9.2 乙方應(yīng)愛(ài)護(hù)使用出租房屋，如因乙方的過(guò)失或過(guò)錯(cuò)致使房屋設(shè)施及屋內(nèi)用具和飾品受到損壞(正常損耗除外)，乙方應(yīng)負(fù)賠償責(zé)任。
paryt b shall treat the leased property with care. if as a result of party b’s negligence or misconduct, the leased property and the related facilities and accessorties suffer any damage(fair wear and tear excepted ),party b shall be responsible for compensating party a for such damages.
9.3 乙方應(yīng)按本合同的約定合法使用出租房屋，不得擅自改變使用性質(zhì)，不應(yīng)存放中華人民共和國(guó)法律下所禁止的危險(xiǎn)物品，如因此發(fā)生損害，乙方應(yīng)承擔(dān)全部責(zé)任。

9.4 未經(jīng)甲方事先書(shū)面同意，乙方不得將出租房屋轉(zhuǎn)租或租給其他的第三者。

十、違約處理：
breach of agreement :
10.1 甲、乙任何一方如未按本合同的條款履行，構(gòu)成違約，應(yīng)承擔(dān)相應(yīng)的違約責(zé)任。雙方同意違約方應(yīng)賠償守約方之直接損失人民幣_(tái)___________元。

a.未得甲方書(shū)面書(shū)面同意，將出租房屋擅自轉(zhuǎn)租;
sublets the leased property without party a’s written consent;
b.未得甲方同意將出租房擅自拆改結(jié)構(gòu)或改變用途的：
alters the structure of the leased property or uses the leased property other than for the purpose started herein without party a’s consent;
c.無(wú)故拖欠租金超過(guò)三天(除雙方就本合同存在爭(zhēng)議除外)。
fails to pay rent without any reason for more than thirty (30)days after the due date except where there is a dispute in respect of this agreement.
十一、適用法律：
applicable law:
本合同的成立，其有效性、結(jié)實(shí)、簽署和解決與其他有關(guān)的一切糾紛均應(yīng)受中國(guó)法律的管轄并依據(jù)中國(guó)法律解釋。

十二、爭(zhēng)議的解決：
