          甲方: (以下簡稱“甲方”)

          Party A: Shanghai Foreign Service Co., Ltd

          (hereinafter referred to as “Party A”)

          乙方: (以下簡稱“乙方”)

          Party B:__________________________

          (hereinafter referred to as “Party B”)

          根據《中華人民共和國合同法》、《中華人民共和國勞動法》和《中華人民共和國勞動合同法》等有關法律、法規(guī)的規(guī)定,本著平等互利的原則,甲、乙雙方經友好協(xié)商,就乙方使用甲方員工等事宜,達成本勞務合同(以下簡稱“本合同”)。

          According to the Contract Law of the People’s Republic of China, Labor Law of the People’s Republic of China, Labor Contract Law of the People’s Republic of China and other relevant laws and regulations, and in line with the principle of equality and mutual benefits, the two parties enter into this Labor Service Contract (hereinafter referred to as “this Contract”) through friendly consultation with regard to Party A’s labor service for Party B.

          第一章 總則Chapter 1 General Provisions

          第一條 適用Article 1 Application

          甲、乙雙方有關乙方使用甲方員工等事宜,適用本合同。

          This Contract applies to the related issues regarding Party B’s using Party A’s labor service.

          第二條 適用法律Article 2 Applicable Laws

          本合同,以及與本合同有關的一切事宜,一律適用中華人民共和國的法律、法規(guī)。因任何原因,包括但不限于因法律法規(guī)變化,致使本合同條款與中華人民共和國法律、法規(guī)不一致時,均應以中華人民共和國法律、法規(guī)為準。

          This Contract and related matters shall be subject to laws and regulations of the People’s Republic of China. In case of any discrepancy between the articles of this Contract and the laws and regulations of the People’s Republic of China for any reasons, including but not limited to the change of laws and regulations, the latter shall prevail.

          第三條 定義Article 3 Definitions

          3.1 甲方員工:指乙方需要使用的,由甲方依法辦理相關手續(xù),派遣到乙方的中國公民。

          3.1 Party A’s Staff: Party A’s Staff refer to any Chinese citizens needed by Party B and dispatched by Party A to Party B after Party A has handled relevant procedures in accordance with law.

          3.2 附件:指甲、乙雙方另行簽訂的所有關于本合同的補充協(xié)議或相關約定等;附件是本合同不可分割的組成部分,與本合同具有同等法律效力。

          3.2 Attachments: Attachments refer to all supplementary or related agreements signed by the two parties; the Attachments are integral parts of this Contract and have the same effect as this Contract.

          3.3 管理費:指乙方使用甲方員工而應支付給甲方的各種費用的總和。一般包括:

          3.3 Management Fee: The total sum of all charges and expenses that Party B should pay to Party A for the use of Party A’s Staff. It generally covers:

          3.3.1 乙方為承擔甲方員工的社會保險和住房公積金而支付的費用;

          3.3.1 Social insurances and accumulated housing fund borne by Party B for Party A’s Staff;

          3.3.2 乙方為要求甲方向甲方員工提供福利保障、檔案保管而支付的費用;

          3.3.2 Expenses of benefits and personnel file preservation that Party B requests Party A to provide for Party A’s Staff;

          3.3.3 乙方為甲方提供本合同下所列服務而支付給甲方的服務費和約定的相關稅收。

          3.3.3 Service fee charged by Party A for service provided under this Contract and taxes levied by the state agreed upon by the two parties.

          3.4 工資:指乙方使用甲方員工而應支付給甲方員工的勞動報酬,具體數額應以附件所載為準。

          3.4 Pay: Labor remuneration paid by Party B to Party A’s Staff for labor use, in the amount subject to the attachments hereto.

          3.5 法律:指中華人民共和國法律、法規(guī)、規(guī)章、制度、規(guī)范性文件等。

          3.5 Law(s): Any and all laws, rules, regulations, institutions, statutes and the like, of the People’s Republic of China.

          第二章 權利和義務Chapter 2 Rights and Obligations

          第四條 甲方享有的權利Article 4 Rights Enjoyed by Party A

          4.1 甲方有權要求乙方為甲方的服務配合甲方擬定的流程。

          4.1 Party A is entitled to request Party B to cooperate with regard to the procedures set by Party A for its service.

          4.2 甲方有權對乙方與甲方員工之間因實際使用關系所發(fā)生的爭議進行調解。

          4.2 Party A is entitled to conciliate between Party B and the Party A’s Staff with regard to the disputes arising from labor service.

          4.3 甲方有權對乙方侵害甲方員工合法權益的行為進行交涉并提出整改意見和要求。

          4.3 Party A is entitled to negotiate with Party B and to propose suggestions and requests of rectification with regard to the infringement of lawful rights and interests of Party A’s Staff.

          4.4 甲方有權根據本合同和附件的約定,按月向乙方收取管理費。

          4.4 Party A is entitled to charge Management Fee from Party B on a monthly basis according to the stipulations in this Contract and the Attachments hereto.

          第五條 乙方享有的權利 Article 5 Rights Enjoyed by Party B

          5.1 乙方有權享有本合同和附件約定的由甲方提供的服務。

          5.1 Party B is entitled to the service items provided by Party A according to this Contract and the Attachments hereto.

          5.2 乙方有權決定甲方員工的派遣期限,派遣期限一般不應少于2年,派遣期滿乙方可以退回甲方員工,但另有約定的除外。

          5.2 Party B is entitled to decide on the dispatch term of Party A’s Staff and the dispatch term shall generally not be shorter than two years. Party B may return Party A’s Staff upon the expiration of the dispatch term unless otherwise agreed by the two parties.

          5.3 乙方有權與被其使用的甲方員工另行簽訂協(xié)議(包括但不限于培訓服務期協(xié)議、保密協(xié)議等),以約定雙方的權利義務;但因此產生的一切責任,甲方不承擔任何一方(即乙方或甲方員工)的連帶責任。

          5.3 Party B is entitled to conclude other agreements (including but not limited to Agreement on Service Term for Training, Non-disclosure Agreement and the like) with Party A’s Staff to specify rights and obligations between the two parties.. However, Party A does not bear any joint or several liabilities with either side (Party B or Party A’s Staff) arising from such agreements.

          5.4 乙方有權制定、修改或者決定有關勞動報酬、工作時間、休息休假、勞動安全衛(wèi)生、保險福利、職工培訓、勞動紀律以及勞動定額管理等直接涉及甲方員工切身利益的規(guī)章制度或者重大事項;但該規(guī)章制度或者重大事項在實體和程序上均不得與法律相沖突,而且應當向甲方員工公示或者告知。

          5.4 Party B is entitled to set, modify or determine rules and regulations or major issues with regard to labor remuneration, working hours, leaves and holidays, labor safety and health, insurance and benefit, training, labor discipline and labor quota management, etc. which are in direct relation to the personal interests of Party A’s Staff; however such rules, regulations or major issues shall not conflict with law in any substantive or procedural issues and shall be disclosed or notified among Party A’s Staff.

          第六條 甲方履行的義務Article 6 Obligations to Be Performed by Party A

          6.1 甲方應為乙方合法使用的甲方員工依法辦理相關手續(xù)。

          6.1 Party A shall handle relevant procedures in accordance with law for Party A’s Staff lawfully serving Party B.

          6.2 甲方應根據本合同和附件的約定,向乙方提供各類由乙方選定的服務。

          6.2 Party A shall provide selected service items for Party B according to this Contract and the Attachments hereto.

          6.3 甲方應教育甲方員工自覺遵守法律和乙方依法制定、修改或決定的規(guī)章制度或者重大事項。

          6.3 Party A shall instruct Party A’s Staff to conscientiously abide by the laws and regulations of the People’s Republic of China as well as the rules and regulations or major issues set, modified or determined by Party B in accordance with law.

          6.4 甲方應當按照乙方依法確定的標準為乙方使用的甲方員工繳納社會保險和住房公積金,或者按照上海規(guī)定繳納綜合保險。

          6.4 Party A shall pay for social insurances and accumulated housing fund for Party A’s Staff who serve Party B based on the standard determined by Party B in accordance with law, or pay comprehensive insurance in accordance with the provisions of Shanghai Municipality.

          6.5 甲方可以根據乙方的合法需求協(xié)助符合條件的甲方員工辦理出國(境)手續(xù)。

          6.5 Party A, upon Party B’s lawful request, may assist Party A’s qualified staff in handling procedures for going overseas.

          6.6 甲方可以根據乙方的需求協(xié)助符合條件的甲方員工辦理擔任乙方(首席)代表的手續(xù)。

          6.6 Party A, upon Party B’s request, may offer assistance to Party A’s qualified staff in handling procedures for assuming the (chief) representative of Party B.

          6.7 甲方可以為符合規(guī)定的甲方員工辦理職稱評定。

          6.7 Party A may handle procedures of awarding professional titles for Party A’s qualified staff.

          6.8 甲方應乙方的要求,協(xié)助乙方對甲方員工造成乙方的經濟損失進行追索,但甲方不對上述損失承擔連帶賠償責任。

          6.8 Party A, upon the request of Party B, shall assist Party B in recovering economic losses caused by Party A’s Staff, but shall not bear joint or several liabilities for such losses.

          第七條 乙方履行的義務Article 7 Obligations to Be Performed by Party B

          7.1 乙方應根據本合同和附件的約定,為甲方履行服務提供必要的協(xié)助。

          7.1 Party B shall provide Party A with necessary assistance for its service in accordance with this Contract and the Attachments hereto.

          7.2 乙方應根據本合同和附件的約定,每月按時足額向甲方支付管理費。

          7.2 Party B shall punctually make full payment of Management Fee on a monthly basis to Party A as stipulated in this Contract and the Attachments hereto.

          7.3 乙方應尊重甲方員工的民族習慣和宗教信仰,嚴禁種族歧視或性別歧視。

          7.3 Party B shall respect ethical custom and religious belief of Party A’s Staff. Any racial or gender discrimination is strictly forbidden.

          7.4 乙方應執(zhí)行國家勞動標準,提供相應的勞動條件和勞動保護;并應承擔甲方員工正常死亡的喪葬補助費、直系親屬撫恤金等責任和甲方員工工傷的責任。

          7.4 Party B shall implement the labor standard of the state, provide relevant labor conditions and labor protection; Party B shall also bear funeral allowance, relief compensation to immediate family members and the like in the case of ordinary death of Party A’s Staff, and bear liabilities for the work-related injury of Party A’s Staff.

          7.5 乙方應根據法律規(guī)定依法執(zhí)行工時制度和支付加班費。

          7.5 Party B shall implement a working-hour system and make overtime payment in conformity with the provisions of law.

          7.6 乙方應根據法律給予女性甲方員工特殊勞動保護,保障其在孕期、產期和哺乳期的合法權益。

          7.6 Party B shall offer special labor protection for Party A’s female staff and ensure their legal rights and interests in pregnancy, maternity and nursing periods in conformity with the provisions of law.

          7.7 乙方如果直接支付報酬的,包括但不限于工資、加班費、績效獎金等,應當及時足額支付并依法代扣代繳個人所得稅。

          7.7 If Party B directly pays Party A’s Staff labor remuneration, including but not limited to pay, overtime, performance bonus and the like, Party B shall pay the remuneration to Party A’s Staff in full and withhold and pay the full amount of individual income tax for Party A’s Staff in a timely manner according to law.

          7.8 乙方應根據法律規(guī)定執(zhí)行帶薪休假制度。

          7.8 Party B shall implement the paid annual leave policy stipulated by Law.

          7.9 乙方可以與甲方員工書面約定,乙方聘用甲方員工每滿一公歷年,在年終由乙方向甲方加付一個月的工資作為年終雙薪。

          7.9 When Party A’s Staff have provided service to Party B for each calendar year, Party B and Party A’s Staff may agree in writing that Party B shall offer an extra one-month pay to such staff at the end of such a calendar year.

          7.10 因乙方使用、退回甲方員工,或因乙方與甲方員工發(fā)生爭議,而引起甲方與甲方員工發(fā)生勞動爭議仲裁或訴訟,或被行政處罰的,乙方應協(xié)助甲方參加仲裁、訴訟、行政復議。若甲方因前述仲裁或訴訟或行政處罰導致需支付任何費用,包括但不限于罰款、賠償、仲裁費、訴訟費、執(zhí)行費等,均應由乙方承擔,但爭議或處罰系甲方過錯造成的除外。

          7.10 In case of any disputes arising from Party B’s use of Party A’s labor service, the return of the Party A’s Staff or the dispute between Party B and Party A’s Staff which leads to a labor dispute arbitration or a lawsuit between them, or, an administrative penalty against Party A, Party B shall assist Party A in participating in such arbitration, lawsuit or administrative reconsideration. If Party A shall pay any charges for such arbitration, lawsuit or administrative penalty, Party B shall bear all cost including but not limited to penalty, damages, arbitration fee, cost of action, and expense of execution , unless the said dispute or the penalty is due to Party A’s fault.

          第八條 雙方共同享有的權利和共同履行的義務

          Article 8 Rights and Obligations Shared by Both Parties

          8.1 本合同以及本合同履行過程中與之相關的一切文件,包括但不限于合同的草稿、附件、報價、往來傳真信函等,均為甲、乙雙方之商業(yè)秘密,除因法定事由并事先通知對方外任何一方均不得以任何形式向第三方泄漏,否則應承擔相應之違約責任和經濟責任。

          8.1 This Contract and the other related documents made in the process of performing this Contract, including but not limited to draft of this Contract, the Attachments, quotations, faxes and letters, are trade secrets of the two parties and shall not be disclosed to a third party by either party in any form, unless for lawful reasons and with prior notice to the other party. Otherwise, the disclosing party shall bear liabilities for breach of contract and economic compensation accordingly.

          8.2 任何一方有權對另一方違反本合同的行為進行交涉并提出整改意見和要求,違約方有義務賠償因此造成的一切損失。

          8.2 If one party breaches this Contract, the other party shall be entitled to negotiate with the breaching party and to propose suggestions and requests of rectification. The breaching party shall compensate for all the losses accordingly.

          8.3 任何一方有權要求另一方根據中華人民共和國新制定的法律、法規(guī)、規(guī)章執(zhí)行并變更本合同的相應條款;另一方應當執(zhí)行。

          8.3 Either party is entitled to require the other party to implement and modify articles of this Contract according to the newly enacted or altered laws, regulations and rules of the People’s Republic of China. Such requirement shall be implemented.

          8.4 任何一方應根據另一方的需要,提供相應的法律、法規(guī)、規(guī)章。

          8.4 Either party shall, as required by the other party, provide relevant laws, regulations and rules.

          8.5 任何一方擬變更任何工商登記事項,或者任何一方搬遷辦公地址的,均應提前十五日以書面形式通知另一方,如因未及時通知而造成對方損失的,變更方應承擔相應之經濟賠償責任。

          8.5 In case that either party changes industrial & commercial registration or business address, the party in change shall inform the other party in writing 15 days in advance. If it causes any loss to the other party for failing to do so, the party in change shall bear the liabilities for economic compensation accordingly.

          8.6 任何一方變更名稱、法定代表人、主要負責人或投資人等事項,不影響本合同的履行;如果乙方發(fā)生分立、合并的,本合同應由承繼乙方權利義務的單位繼續(xù)履行。

          8.6 The change of either party regarding name, legal representative, person in charge, investor and the like, shall not impact the performance of this Contract; If Party B undertakes split or merger, the successor to Party B’s rights and obligations shall continue to perform this Contract.

          第三章 甲方員工的使用、解除使用Chapter 3 Use and Return of Party A’s Staff

          第九條 甲方員工的使用Article 9 Use of Party A’s Staff

          9.1 乙方使用甲方員工,應在本合同簽訂前向甲方提供乙方在中國境內有效的工商登記證明文件。乙方應對前述文件的真實性和有效性負責。

          9.1 Party B, prior to the conclusion of this Contract, shall provide Party A with documents evidencing its valid industrial and commercial registration in China so as to use Party A’s labor service. Party B shall be responsible for the authenticity and validity of such documents.

          9.2 甲方員工的派遣期限以附件中約定的或者乙方書面通知的起始日期開始,該派遣期限一般不應少于兩年;如非因甲方原因致使使用起始日期無法按照乙方確定的日期為準的,以甲方確定的日期為起始日期,派遣期限應相應順延。

          9.2 The dispatch term of Party A’s Staff shall commence from the date as stipulated in the Attachments hereto or in the written notice issued by Party B. Normally such dispatch term shall not be shorter than two years; If the start date of actual employment could not match the date determined by Party B due to reasons beyond Party A’s control, the start date shall be determined by Party A and the dispatch term shall be postponed accordingly.

          9.3 對于乙方初次使用的甲方員工,乙方可以要求甲方依法設置試用期,但有規(guī)定不能設置的除外。

          9.3 Party B may require Party A to set the probation period for Party A’s Staff who serves Party B for the first time in accordance with law unless otherwise legally stipulated.

          9.4甲方員工在乙方連續(xù)工作滿十年或甲方員工在乙方工作期間與甲方連續(xù)簽訂兩次固定期限勞動合同后,乙方繼續(xù)使用甲方員工的,甲方應與該甲方員工簽訂無固定期限勞動合同,由乙方承擔無固定期限勞動合同中根據法律規(guī)定甲方應當承擔的所有義務。乙方根據勞務合同和附件的約定退回該甲方員工的,除需要向甲方承擔本合同約定的責任外還應當承擔退回甲方員工后應當由甲方向甲方員工承擔的責任,包括但不限于支付勞動報酬、繳交社會保險和住房公積金、工傷醫(yī)療等經濟責任。(乙方在初次接受該甲方員工的派遣時該甲方員工已經與甲方簽訂無固定期限勞動合同的除外。)

          9.4 Party A and Party B agree that Party A shall conclude non-fixed labor contracts with Party A’s Staff if Party A’s Staff have served Party B continuously for ten years or over and are still serving Party B, or have continuously concluded two fixed-term labor contracts with Party A during service in Party B and Party B continues to use Party A’s Staff’s labor service. Party B shall bear all liabilities stipulated by laws and regulations related to non-fixed labor contract. Should Party B return Party A’s Staff in accordance with this Contract and its Attachments, in addition to the obligations agreed on in this Contract, Party B shall assume Party A’s economic liabilities to Party A’s Staff, including but not limited to labor remuneration, social insurances, accumulated housing fund, work-related injury and medical treatment. (Cases in which Party A has concluded non-fixed labor contract with Party A’s Staff before Party B uses Party A’s Staff for the first time shall be excluded.)

          9.5 乙方使用甲方員工,應當在使用前如實告知甲方員工錄用條件、工作內容、工作要求、工作條件、工作地點、職業(yè)危害、安全生產狀況、勞動報酬,以及甲方員工要求了解的其他情況。

          9.5 Party B before using Party A’s Staff shall truthfully inform Party A’s Staff of their work contents, work requirements, work conditions, work locations, occupational hazards, conditions of production safety, labor remunerations, and other information Party A’s Staff require to know.

          9.6 乙方使用甲方員工,甲方應提供的服務和辦理的手續(xù),以及乙方應提供的協(xié)助等相關事宜,除本合同約定的內容外,均具體以附件為準。

          9.6 Issues with regard to the service to be provided and procedures to be handled by Party A as well as the assistance to be supplied by Party B shall be determined in accordance with the Attachments hereto, unless they have been stipulated in this Contract.

          第十條 甲方員工的解除使用Article 10 Dismissal of Party A’s Staff

          10.1 甲方員工有下列情形之一的,乙方可以解除使用關系,將甲方員工退回甲方,但應當提前以書面形式通知甲方和甲方員工:

          10.1 Under any of the following situations on the side of Party A’s Staff, Party B may rescind the labor service relationship and return such staff to Party A with a prior notice in writing to both Party A and Party A’s Staff:

          10.1.1 在試用期間被證明不符合錄用條件的;

          10.1.1 Proved not to meet the recruitment requirements during the probation period;

          10.1.2 嚴重違反乙方的規(guī)章制度的;

          10.1.2 Seriously violates Party B’s rules and regulations;

          10.1.3 嚴重失職,營私舞弊,給乙方造成重大損害的;

          10.1.3 Seriously neglects his/her duty, practices favoritism and irregularities, and causes great loss to Party B

          10.1.4 同時與其他用人單位建立勞動關系,對完成乙方的工作任務造成嚴重影響,或者經乙方提出,拒不改正的;

          10.1.4 Establishes labor relationship with any other employer at the same time and causes serious impact upon the performance of its duty to Party B, or refuses to make any rectification upon the request of Party B;

          10.1.5以欺詐、脅迫的手段或者乘人之危,使乙方在違背真實意思的情況下建立或者變更與其的使用關系的;

          10.1.5 Induces Party B to enter into or change  labor service relationship with him/her against Party B’s true intention by fraud or duress or by taking advantage of Party B;

          10.1.6 被依法追究刑事責任的。10.1.6 Being investigated for criminal liabilities.

          10.2 甲方員工有下列情形之一的,乙方可以解除使用關系,將甲方員工退回甲方,但應當至少提前三十五日以書面形式通知甲方和甲方員工:

          10.2 Under any of the following situations on the side of Party A’s Staff, Party B may rescind the labor service relationship and return such staff to Party A with a written notice at least 35 days in advance to both Party A and Party A’s Staff:

          10.2.1 甲方員工患病或者非因工負傷,在規(guī)定的醫(yī)療期滿后不能從事原工作,也不能從事由乙方另行安排的工作的;

          10.2.1 Being Sick or wounded for non-work-related reasons, and when the medical treatment period expires he/she still remains unable to resume work or any other work arranged by Party B;

          10.2.2 甲方員工不能勝任工作,經過培訓或者調整工作崗位,仍不能勝任工作的。

          10.2.2 Proved incompetent for its own job, and after training or change of position, still fail to be qualified or competent in that regard.

          10.2.3 乙方使用甲方員工時所依據的客觀情況發(fā)生重大變化,致使乙方無法繼續(xù)使用甲方員工,且乙方與甲方員工未能就變更使用關系協(xié)商一致的。

          10.2.3 No agreement on modification of the labor service relationship can be reached through consultation by Party B and Party A’s Staff when the objective conditions taken as the basis for the Party A’s Staff serving Party B have substantially changed and Party B can no longer use Party A’s Staff’s labor service

          乙方未依約定提前通知的,應當向甲方支付相當于甲方員工一個月工資的違約金,標準按本合同11.4的約定執(zhí)行。

          In case Party B fails to notify Party A in advance according to the Contract, Party B shall pay penalty at the rate of Party A’s Staff’s one month wage to Party A. The rate shall be determined in accordance with Article 11.4 of this Contract

          10.3 除本條10.1約定的情形外,甲方員工有下列情形之一的,乙方不得解除使用關系退回甲方員工:

          10.3 Unless otherwise stipulated in 10.1, under  any one of the following situations on the side of Party A’s Staff, Party B shall not rescind the labor service relationship or return Party A’s Staff:

          10.3.1 從事接觸職業(yè)病危害作業(yè)的甲方員工未進行離崗前職業(yè)健康檢查,或者疑似職業(yè)病病人在診斷或者醫(yī)學觀察期間的;

          10.3.1 Engaging in operations with exposure to occupational disease hazards but have not undergone a pre-departure occupational health check-up, or, are suspected of having contracted an occupational disease and are still to be diagnosed or under medical observation;

          10.3.2 在乙方患職業(yè)病或者因工負傷并被確認喪失或者部分喪失勞動能力的;

          10.3.2 Confirmed as having lost or partially lost its capacity to work due to an occupational disease or a work-related injury;

          10.3.3 患病或者非因工負傷,在規(guī)定的醫(yī)療期內的;

          10.3.3 Contracting an illness or sustained a non-work-related injury, and the prescribed medical period has not expired;

          10.3.4 女職工在孕期、產期、哺乳期的;

          10.3.4 Female staff in pregnancy, maternity or nursing period;

          10.3.5 在乙方連續(xù)工作滿十五年,且距法定退休年齡不足五年的;

          10.3.5 Having been working for Party B continuously for 15 years or over, and are less than 5 years away from legal retirement age;

          10.3.6 法律、行政法規(guī)規(guī)定的其他情形。

          10.3.6 Other circumstances provided by the laws or administrative regulations.

          10.4 使用的順延10.4 Extension of Labor Use

          如果乙方以派遣期限屆滿退回甲方員工時,甲方員工有本條10.3約定的情形之一,且不屬于本條10.1情形的,乙方應順延其使用關系至相應的情形消失后方可退回。

          When Party B intends to return Party A’s Staff upon expiration of dispatch term, if Party A’s Staff are under any one of the situations provided in 10.3 and are not subject to any of the situations listed in 10.1, Party B shall extend the labor service relationship and shall not return Party A’s Staff until the disappearance of the particular situation.

          10.5 甲方可以依法與甲方員工解除或終止勞動合同關系,但應提前通知乙方。

          10.5 Party A may rescind or terminate the labor   service relationship with Party A’s Staff according to law, however a prior notice to Party B is necessary.

          第十一條 退回補償Article 11 Return Compensation

          11.1 除本合同10.1約定的情形外,乙方將甲方員工退回甲方的,均應向甲方支付退回補償。

          11.1 Except for the circumstances specified in  Article 10.1 hereof, Party B shall pay Party A return compensation upon returning Party A’s Staff to Party A.

          11.2 退回補償按甲方員工在乙方工作的.年限,按每滿一年支付一個月工資的標準向甲方支付。六個月以上不滿一年的,按一年計算;不滿六個月的,向甲方支付半個月工資的退回補償。

          11.2 Return compensation shall be paid according to the number of years Party A’s Staff has served Party B. The calculation is one month’s pay for one year service. If the actual service period is over 6 months but shorter than 1 year, it shall be calculated as 1 year. If the actual service period is shorter than 6 months, return compensation shall equal to a half-month pay.

          11.3 甲方員工月工資高于上海市上年度職工月平均工資三倍的,向甲方支付退回補償的標準按職工月平均工資三倍的數額支付,向甲方支付退回補償的年限最高不超過十二年。

          11.3 If the monthly pay of Party A’s Staff is higher than three times of the mean monthly social salary of employees in Shanghai Municipality, the rate for the return compensation paid to Party A shall be three times of such monthly salary and not be more than 12 years.

          11.4 本條所稱月工資是指甲方員工被退回前十二個月的平均工資。

          11.4 The “monthly pay” mentioned in this  Article means the average monthly pay of Party A’s Staff of the 12 months prior to the return.

          11.5 乙方理解并同意:如果乙方退回2008年1月1日以前已經使用的甲方員工,且2008年1月1日以后甲方尚未與甲方員工續(xù)簽過勞動合同,則退回補償應分段計算,2008年1月1日以后階段的退回補償可按11.3的約定封頂,2008年1月1日以前階段的退回補償,應按11.2的約定計算,不應按11.3的約定封頂。

          11.5 Party B understands and accepts that if  Party B returns Party A’s Staff who start to serve Party B before 1 January 2008 and Party A has not renewed the Labor Contract with Party A’s Staff after 1 January 2008, the return compensation shall be calculated in two parts. The return compensation for the labor service after 1 January 2008 shall be capped according to Article 11.3 and the part before 1 January 2008 shall be calculated according to Article 11.2 and shall not be capped according to Article 11.3

          第十二條 額外退回補償Article 12 Additional Return Compensation

          12.1 乙方以10.2.1約定的情形退回甲方員工的,除應按本條11.2的約定向甲方支付退回補償外,還需按不低于甲方員工六個月工資的標準,向甲方支付額外退回補償;對于患重病和絕癥的還應增加額外退回補償,患重病的增加部分不低于六個月工資標準的百分之五十,患絕癥的增加部分不低于六個月工資標準的百分之一百。

          12.1 If Party B returns Party A’s Staff under any of the circumstances specified in Article 10.2.1, it has to, in addition to the return compensation stipulated in the provisions of Article 11.2 hereof, pay to Party A additional return compensation not lower than staff’s 6 months pay. If Party A’s Staff suffer from critical illness or an incurable disease, such return compensation shall be added. The added part shall not be lower than 50% for critical illness and not lower than 100% for an incurable disease, of the staff’s 6 months’ pay.

          12.2 乙方以10.2.3約定的情形退回甲方員工的,剩余派遣期限應計算入甲方員工在乙方的工作年限,據此計算退回補償;并且除應按本條11.2的約定向甲方支付退回補償外,還應按剩余派遣期內應支付的該甲方員工的工資、社會保險和住房公積金,以及服務費等的總合作為額外退回補償按月向甲方支付。

          12.2 In the case that Party B returns Party A’s Staff according to Article 10.2.3, the balance of dispatch term shall be included in the service term of Party A’s Staff and the return compensation shall be calculated according to the total service term. In addition to the return compensation according to Article 11.2, Party B shall pay, Party A’s Staff’s salary, social insurances, accumulated housing fund and service fee, on a monthly basis, to Party A as the additional return compensation during the balance of dispatch term.

          第十三條 甲方員工解除使用關系

          Article 13 Rescission of Labor Service Relationship by Party A’s Staff

          13.1 甲方員工提前三十日以書面形式通知乙方或者甲方,可以解除使用關系;甲方員工在試用期內提前三日通知乙方或者甲方,可以解除使用關系。

          13.1 Party A’s Staff may rescind the labor  service relationship with a 30-day prior notice in writing to Party B or Party A; Party A’s Staff, during the probation period, may rescind the labor service relationship with a 3-day prior notice to Party B or Party A.

          13.2 有下列情形之一的,甲方員工可以與乙方解除使用關系。

          13.2 Under any of the following circumstances, Party A’s Staff may rescind the labor service relationship with Party B.

          13.2.1 乙方未按照約定依法提供勞動保護或者勞動條件的;

          13.2.1 Party B fails to provide labor protection or work conditions in accordance with law;

          13.2.2 乙方未及時足額支付勞動報酬的;

          13.2.2 Party B fails to pay in full labor remuneration in a timely manner;

          13.2.3 乙方未按照約定向甲方支付為勞動者繳納社會保險費的費用的;

          13.2.3 Party B fails to make social insurance payment to Party A for Party A’s Staff in line with the agreements by the two parties;

          13.2.4 乙方的規(guī)章制度違反法律、法規(guī)的規(guī)定,損害甲方員工權益的;

          13.2.4 Rules and regulations of Party B violate  the provisions of laws and regulations and infringe upon the rights and interests of Party A’s Staff;

          13.2.5 乙方以欺詐、脅迫的手段或者乘人之危,使甲方員工在違背真實意思的情況下與乙方建立或者變更使用關系(約定)的;

          13.2.5 Party B induces Party A’s Staff to enter  into or change labor service relationship (agreement) against its true intention by fraud or duress or by taking advantage of him or her;

          13.2.6 乙方以暴力、威脅或者非法限制人身自由的手段強迫甲方員工勞動的,或者乙方違章指揮、強令冒險作業(yè)危及甲方員工人身安全的,甲方員工可以立即解除使用關系,不需事先告知乙方。

          13.2.6 If Party B forces Party A’s Staff to work by resorting to violence, intimidation or illegal restriction of personal freedom, or Party B gives orders in violation of rules and regulations or forces Party A’s Staff to run risks in operation and causes danger to the personal safety of Party A’s Staff, Party A’s Staff may rescind the labor service relationship at once without prior notice to party B.

          13.2.7 法律、行政法規(guī)規(guī)定的其他情形。

          13.2.7 Other circumstances provided by the laws or administrative regulations.

          13.3 甲方員工解除使用關系的退回補償甲方員工依照本條13.2約定解除使用關系的,乙方應當按照本合同第11條和第12.1條約定的標準向甲方支付(額外)退回補償。

          13.3 Return Compensation for Rescission of Labor Service Relationship by Party A’s Staff. If Party A’s Staff rescind the labor service relationship in line with the provisions in Article13.2, Party B shall pay to Party A (additional) return compensation in line with the standard specified in Article 11 and Article 12.1 hereof.

          第四章 費用及結算 Chapter 4 Management Fee and Its Settlement

          第十四條 管理費的確定Article 14 Determination of Management Fee

          14.1管理費根據甲、乙雙方協(xié)商,確定于本合同附件,并以每月二十日前甲方標準格式統(tǒng)一打印的《付款通知書》為當月管理費的結算依據。乙方如有任何變動情況,應于當月十五日前書面通知甲方,否則應承擔相應之責任。

          14.1 Management fee shall be defined in the Attachments hereto through consultation by the two parties. Settlement of the management fee for the current month shall be based on the Notice of Payment issued in standard printed form by Party A on 20th of each month. In case that Party B intends to change the sum of management fee, it shall notify Party A in writing before 15th of the current month, or it shall bear the liabilities accordingly.

          14.2 管理費可以人民幣或者等值于人民幣報價的外幣結算。匯率按中國人民銀行當月十五日公布的匯率的中間價為準。

          14.2 Management fee can be settled in RMB or foreign currencies of equal value. The exchange rate shall be the medial rate quoted by People’s Bank of China on 15th of the current month.

          14.3 甲、乙雙方應根據政府相關規(guī)定的時間相應地調整社會保險費用和住房公積金費用;并根據政府的需要隨時進行其它必須的調整。前述的調整,不應影響派遣期限。

          14.3 The two parties shall, in compliance with the relevant government regulations, adjust charges for social insurances and accumulated housing fund accordingly each year. Such adjustment of other items may occur at any time according to the policies of the government and shall not affect the dispatch term.

          第十五條 管理費的支付Article 15 Payment of Management Fee

          每月月底前,乙方應根據本合同及附件約定的金額向甲方支付當月的管理費,具體支付方式為以下四種:

          Prior to the end of each month, Party B shall pay Party A Management Fee of the current month at the amount specified in this Contract and its Attachments in the following four ways:

          15.1 現金;15.1 Cash

          15.2 支票;15.2 Check

          15.3 轉帳;15.3 Bank Transfer

          15.4 電匯。15.4 Telegraphic Transfer

          第十六條 退回補償的支付Article 16 Payment of Return Compensation

          除本合同另有約定外,本合同和附件約定的任何退回補償和(或)額外退回補償,均應在甲方員工被退回的同時向甲方一次性全額支付。

          Unless otherwise stipulated in this Contract, any return compensation and/or additional return compensation stipulated by this Contract and the Attachments hereto shall be paid in lump sum upon the return of Party A’s Staff.

          第五章 違約責任Chapter 5 Liabilities for Breach of This Contract

          第十七條 普通責任Article 17 General Liabilities

          本合同的任何一方違反本合同和附件的任何約定,導致另一方遭受任何損失、處罰、索賠的,均應由違約方在未違約方提出要求時向未違約方作出足額補償。任何一方依據本合同和附件的約定承擔了其他違約責任的,并不能免除其作為違約方應承擔的本條約定的違約責任。

          In case that either party hereto violates any provision of this Contract and the Attachments hereto, and therefore the other party suffers any loss, penalty or claim due to this, the breaching party shall make full compensation to the non-breaching party upon request. The assumption of any other liabilities by any party for breach of this Contract in accordance with this Contract and the Attachments hereto shall not exempt such party as the breaching party from its liabilities stipulated in this Article.

          第十八條 管理費遲延支付的違約責任

          Article 18 Liabilities Due to Delayed Payment of Management Fee

          乙方未按本合同和附件的約定按時足額支付管理費的,除應足額支付外,還應自應付款之日起,至實際支付之日止,每日支付應付款金額2‰的滯納金給甲方。同時,因乙方未按約定支付管理費,造成甲方員工的社會保險費和(或)住房公積金未能按政府規(guī)定及時繳納的,乙方應承擔相關政府部門規(guī)定的補繳罰款或罰息。甲方在乙方未按時支付管理費的情況發(fā)生時,有權根據乙方的違約情形選擇解除本合同,乙方作為違約方應向甲方支付至本合同終止前拖欠的管理費用,并應向甲方一次性支付違約金;違約金的計算標準為:“視作每個甲方員工被退回,所應獲得的退回補償和額外退回補償之和”加上“解除時乙方使用的每個甲方員工的工資、社會保險、住房公積金、服務費乘以至該甲方員工和甲方的勞動合同期滿為止或依法順延滿為止的剩余月數之和”后的總和。

          If Party B fails to pay in full Management Fee on time as stipulated in this Contract and the Attachments hereto, it shall, in addition to full-amount payment, make a daily payment of late fee to Party A which equals 0.2% of the sum payable from due date to the date of actual payment. In the meantime, if Party B’s failure to pay Management Fee in accordance with this Contract results in delayed payment of social insurances (or) accumulated housing fund of Party A’s Staff according to relevant government regulations, Party B shall bear corresponding legal liabilities of fine and penalty interest. In the case that Party B fails to pay Management Fee on time, Party A is entitled to rescind this Contract according to the actual breach. Party B, as the breaching party, shall pay to Party A the delayed Management Fee payable accrued until the rescission of this Contract and the penalty to Party A in lump sum. (Penalty shall be the total sum of “the return compensation and additional return compensation of all Party A’s Staff serving Party B with all of them being deemed returned to Party A” plus “pay, social insurances, accumulated housing fund and service fee of all Party A’s Staff serving Party B at the time that this Contract is rescinded multiplying the balance of labor contract term (in month) or the extended labor contract term (in month) in line with law”.)

          第十九條 乙方未及時足額支付勞動報酬的違約責任

          Article 19 Liabilities Due to Failure to Make Full Payment of Labor Remuneration on Time

          因乙方未及時足額支付甲方員工勞動報酬(包括但不限于工資、加班工資等),導致甲方遭受任何處罰、索賠、損失的,均應由乙方向甲方作出足額補償。

          If Party B fails to make full payment of labor remuneration of Party A’s Staff on time (including but not limited to pay and overtime payment), and therefore Party A suffers any penalty, claim or loss, Party B shall make full compensation to Party A.

          第二十條 退回補償遲延支付的違約責任

          Article 20 Liabilities Due to Delayed Payment of Return Compensation

          乙方未按本合同和附件的約定按時足額支付退回補償和(或)額外退回補償的,除應足額支付外,還應在甲方提出要求時,按應付金額百分之一百的標準向甲方加付違約金。

          If Party B fails to pay return compensation and/or additional return compensation in full and on time in accordance with the provisions of this Contract and the Attachments hereto, it shall, in addition to full-amount payment, pay to Party A penalty, at the rate of 100% of the sum due upon request.

          第二十一條 乙方不當解除使用甲方員工的違約責任

          Article 21 Liabilities Due to Unjustified Rescission of Labor Service Relationship by Party B

          依法規(guī)定,乙方依本合同約定的情形將甲方員工退回甲方的,甲方可以依法與甲方員工解除或終止勞動合同;但如果甲方據此解除或終止勞動合同被裁判為違反法律規(guī)定的,乙方應承擔以下違約責任。

          According to law, if Party B, in line with the provisions of this Contract, returns Party A’s Staff, Party A may rescind or terminate the labor contract with such staff in accordance with the law; however, if such rescission or termination of labor contract by Party A is in violation of law, Party B shall bear the following liabilities:

          21.1 甲方員工要求繼續(xù)履行勞動合同的,乙方應同時恢復使用關系,并承擔由此產生的一切甲方應承擔的責任;

          21.1 If Party A’s Staff demand to resume performance of the labor contract, Party B shall restore the labor service relationship and bear all liabilities Party A shall assume due to this;

          21.2 甲方員工不要求繼續(xù)履行勞動合同的,應當依照本合同約定的退回補償標準的二倍向甲方支付違約金;

          21.2 If Party A’s Staff do not demand to resume performance of the labor contract, Party B shall pay to Party A penalty at the rate of twice the return compensation stipulated by this Contract;

          21.3 使用關系實際無法恢復的,乙方應承擔由此產生的一切甲方應承擔的責任,包括但不限于支付賠償金、報酬、繳交社會保險和住房公積金等經濟責任;并應按本合同和附件確定的服務費標準,一次性向甲方支付甲方與甲方員工剩余的勞動合同期限的服務費。

          21.3 If the labor service relationship could not restored, Party B shall bear all liabilities Party A shall assume due to this, including but not limited to the economic liabilities of paying damages, remuneration, social insurances, accumulated housing fund and Party B shall pay the service fee to Party A, as stipulated in the Contract and the Attachments, of the remainder of labor contract term in lump sum.

          第二十二條 違約后的合同解除

          Article 22 Rescission of this Contract after Breach

          任何一方違反本合同的約定超過三十日仍未改正的,另一方有權書面通知對方解除本合同,本合同自書面通知發(fā)出之日起即行解除。

          If either party is in violation of the provisions of this Contract for more than 30 days without rectification, the other party shall have the right to rescind this Contract by giving a written notice, and this Contract shall be rescinded upon the issuance of such written notice.

          第六章 附則 Chapter 6 Supplementary Provisions

          第二十三條 服務期的約定Article 23 Stipulation on Service Term

          乙方為甲方員工提供專項培訓費用,對其進行專業(yè)技術培訓的,可以與其訂立協(xié)議,依法約定服務期和違約金。

          If Party B has provided any special training fund to Party A’s Staff and conducted any professional and technical training, it may conclude an agreement with Party A’s staff stipulating service term and penalty in accordance with law.

          第二十四條 未創(chuàng)設第三方權利

          Article 24 No Creation of Any Right for Any Third Party

          本合同的任何條款并未被用于、或被解釋為向第三方提供和創(chuàng)設使該第三方得到受益的權利。前述第三方包括但不限于甲方員工。

          Any article in this Contract shall not be used or interpreted as providing or creating any beneficial rights to any third party. Such third party includes but is not limited to Party A’s Staff.

          第二十五條 雙方約定的其他事宜

          Article 25 Other Issues Agreed upon by the Two Parties

          25.1 若由甲方支付甲方員工的工資的,一般應由甲方代扣代繳甲方員工的個人所得稅,另有約定的除外。

          25.1 If the pay of Party A’s Staff is distributed by Party A, Party A shall withhold and pay individual income tax of such staff unless otherwise

          25.2乙方解除或終止本合同的,應提前六十日書面通知甲方。乙方解除或終止本合同而將甲方員工退回甲方的,或乙方曾使用的甲方員工仍在勞動合同期內的,則乙方應按月向甲方支付本合同解除時乙方使用或曾使用且仍在勞動合同期內的所有甲方員工的工資、社會保險、住房公積金,直至該甲方員工和甲方的勞動合同期滿可終止為止;并根據勞動合同期滿可終止時依照甲方員工工作年限應當向甲方支付(額外)退回補償。前述費用,甲方可以要求乙方一次性支付。

          25.2 Party B shall notify Party A in writing, 60  days in advance, to rescind or terminate this Contract. If Party B rescinds or terminates this Contract and return Party A’s Staff, or Party A’s Staff previously returned by Party B are still in the labor contract term upon rescission or termination of this Contract, Party B shall pay to Party A, on a monthly basis, the pay, social insurances and accumulated housing fund of all Party A’s Staff serving Party B or having previously served Party B but still in the labor contract term till the Labor Contract between Party A’s Staff and Party A can lawfully expire. Party B shall also pay (additional) return compensation according to years of service of Party A’s Staff upon lawful expiration of their labor contract. For the above payment, Party A may request Party B to pay in lump sum.

          第二十六條 本合同未盡事宜

          Article 26 Issues Not Addressed in Detail in This Contract

          本合同在履行過程中如發(fā)現有未盡事宜,應由甲、乙雙方依法律另行訂立補充約定作為本合同的附件。

          Supplementary agreements as attachments of this Contract shall be reached in conformity with law with regard to issues not addressed in detail in this Contract during implementation.

          第二十七條 爭議的解決Article 27 Settlement of Disputes

          甲、乙雙方在履行本合同過程中發(fā)生的任何爭議,均應由雙方友好協(xié)商解決;協(xié)商不成的,可提交中國國際經濟貿易仲裁委員會上海分會仲裁。

          Any dispute arising from implementation of this Contract between the two parties shall be settled through friendly consultation. If such effort fails, the dispute shall be submitted to Shanghai Branch of China International Economic and Trade Arbitration Commission for arbitration.

          第二十八條 合同的生效 Article 28 Effective Date of This Contract

          本合同由甲、乙雙方于[ ]年[ ]月[ ]日在上海簽署,并自[ ]年[ ]月[ ]日起生效。

          This Contract is signed by both parties on the day of [ ] in Shanghai and shall come into effect as of the date of _______.

          第二十九條 合同的變更Article 29 Modification of This Contract

          除本合同另有約定外,任何一方需在合同期內變更本合同的,均應提前三十日以書面形式通知對方,另一方收到通知后三十日內,雙方應就變更條款達成一致;如逾期雙方仍不能達成一致的,本合同原條款應繼續(xù)有效,雙方必須繼續(xù)履行。

          During the contract term, unless otherwise provided by this Contract, either party shall notify the other party in writing 30 days in advance if it intends to modify this Contract. Within 30 days after the other party receives the notification, the two parties shall reach a consensus with respect to the modification. If such effort fails, the original articles of this Contract shall remain valid and be implemented by both parties.

          第三十條 完整的合同和可分割性

          Article 30 Entirety and Severability

          本合同以及本合同的所有附件,構成甲、乙雙方之間所達成的完整的合同。本合同或附件任何條款的不合法或無效,不應影響本合同和附件任何其他條款的有效性。

          This Contract and all Attachments hereto constitute the entire contract between the two parties. The unlawfulness or invalidity of any provision of this Contract or the Attachments hereto shall not affect the validity of any other provisions of this Contract or the Attachments hereto.

          第三十一條 政策性調整

          Article 31 Necessary Adjustment Due to Regulatory Changes

          甲、乙雙方理解并同意:如果國家和/或上海市就《勞動合同法》有規(guī)范性文件實施的,本合同和附件應根據前述規(guī)范性文件變更。

          Both Party A and Party B understand and accept that in case that any statutory documents relating to Labor Contract Law stipulated by the State and Shanghai Municipality are implemented, this Contract and its Attachments shall be modified in accordance with the above documents.

          第三十二條 其他Article 32 Miscellaneous

          本合同一式二份,雙方各持一份為憑,具有同等效力。本合同如由中文和外文書就,兩種文本如有不一致,以中文文本為準。

          This Contract is prepared in duplicate, with each party holding one original with the same effect. This Contract is prepared in both Chinese and English versions. In case of any discrepancy between the two versions, the Chinese version shall prevail.

          If Party A needed to adjust Party B‘s position and working area for business development variety, Party B should accept it.

          三、工資 Salary

          乙方每月的基本工資:RMB 績效工資:RMB 綜合福利金:RMB ,工資總額為RMB 元(該金額尚未扣除稅金、住房費用以及社會保險中個人應繳的部份),另甲方予以乙方工資總額7%的住房公積金(如法律規(guī)定住房公積金繳交基數有上限,則依照法規(guī)執(zhí)行)試用期滿,經考核后,根據考核結果確定是否正式錄用,正式錄用后薪金保持不變。甲方將視公司的盈利情況和乙方的考核結果,于每年的三月份進行薪金調整。

          Party B's monthly total revenue (before the deduction of tax, housing fund, social insurance paid by individual) each month would be RMB______ , including base wage RMB______ performance salary RMB_______and social welfare RMB______, And Party A will offer Party B 7% housing fund base on the total revenue, or any upper limit set by the local authority, whichever is the lower. After probation total revenue would be unchanged. Party B's salary will be reviewed annually in March and adjusted in light of Party B's performance and prevailing conditions.

          四、工資的發(fā)放 Payment

          甲方于每月_____日前通過銀行轉帳支付發(fā)放上月工資。

          Salary will be paid to Party B's account by T/T before the ____th of the following month.

          五、超時工作 Over Time

          乙方應致力于提高工作效率,按時完成生產、工作任務。如因特殊情況需要加班,可自行安排。如乙方希望通過自行安排加班取得加班費,則乙方必須在加班前四小時填寫加班申請表呈總經理審批。否則,視為無效加班,詳見《員工手冊》。

          Party B must try his best to increase the working efficiency to meet Party A's requirement. If there are special circumstances that Party B has to work overtime, Party B can arrange by themselves. If Party B requests OT payment, he/she must fill in the OT application form and have it approved by GM. OT Application Form without authorized signature is not valid.

          六、加班費 OT Compensation

          乙方經甲方批準在工作日加班,甲方必須支付給乙方基本工資150%的報酬;休息日被安排工作而甲方又不能夠給予乙方同等時間的補休,則甲方須支付給乙方基本工資200%的報酬;若在國家法定休假日被安排工作,甲方付給乙方基本工資300%的報酬。

          If Party B works over time and has approved by Party A, he/she will be offered the same period of compensation leave or OT salary according to Labor Law of PRC China.

          七、假期與福利 Holiday & Benefits

          1. 有薪國家法定假日 Statutory Holiday of PRC China with pay

          2. 有薪婚假/產假/喪假 Leave for Marriage, Maternity and Mourning with pay.

          3. 有薪年假 Annual leave with pay

          4. 社會保險 Social Insurance

          5. 年度獎金Annual bonus (based on the months worked with party A at the rate of one month‘s wage for each full year worked. )

          八、勞動紀律 Discipline

          乙方應嚴格遵守甲方制定的各項規(guī)章制度和勞動紀律(詳請請參照《員工手冊》執(zhí)行)

          Party B shall strictly obey Party A‘ regulations and discipline. Please refer to Party A's employee manual.

          九、保密協(xié)議 Confidentiality

          乙方需嚴格保守工作過程中接觸和了解到的公司商業(yè)秘密(包括生產技巧、工藝流程、技術秘密、管理方法、產銷策略、貨源情報、設計圖紙、成本價格和客戶資料),否則將受到行政處罰(如無條件解雇、賠償等);觸犯刑法的,甲方將有權移交司法機關處理。乙方調離甲方,應得到甲方同意,并將所有商業(yè)秘密資料移交甲方,同時承擔不向外泄露的義務,并保證半年內不得利用甲方商業(yè)秘密在生產同類且與甲方有競爭關系的產品的其他企業(yè)內任職。否則,甲方有權要求乙方賠償因此而帶來的一切經濟損失。

          The recipient shall undertake the obligation to keep confidential, in accordance with the scope and duration agreed upon by both parties, the technical secrets contained in the technology provided by the supplier, which have not been made public.

          十、合同終止 Termination

          1. 終止本合同條件 Termination conditions

          A. 試用期間,雙方皆可即時通知對方解除本合同;

          During the probation period, either side can terminate the contract by immediate effect.

          B. 試用期滿后,任何一方欲解除合同,須提前三十日以書面形式通知對方。否則,違約方須向守約方支付違約金(違約金為乙方一個月的工資),若造成守約方經濟損失的,應依法承擔賠償責任。

          Either side can terminate the contract by giving 30 days notice in written form after probation period.

          2. 甲方在下列情況下可隨時直接地通知乙方解除本合同,無須履行任何法定義務和手續(xù),無須向乙方補償If any case of the following circumstances, Party A has the right to inform Party B rescission of the contract:

          A. 乙方在試用期間達不到甲方的要求;Party B‘s performance can’t meet Party A‘s requirement.

          B. 乙方嚴重失職,給甲方利益造成重大損失的;

          The other party has breached the contract, to the extent that such breach has seriously affected the economic benefits expected when concluding the contract

          C. 違反甲方有關規(guī)定,應予開除的,詳情請參照《員工手冊》執(zhí)行。The condition agreed on in the Party A's employee manual for rescission of the contract has arisen

          3. 乙方在下列情況下終止本合同不需向甲方補償

          If any one of the following circumstances, Party B has the right of inform Party A rescission of the contract without any compensation:

          A. 被非法限制人身自由的手段強迫勞動的;

          Party B is forced to work by illegal means.

          B. 未按本合同約定支付勞動報酬或勞動條件的;

          Party B cannot get the salary or working conditions which agreed in the contract.

          十一、甲、乙雙方須共同遵守國家有關法規(guī)以及甲方《員工手冊》的有關規(guī)定。

          Both Party A and Party B shall obey the related regulation of PRC China and Party A's employee manual.

          十二、本合同自甲方蓋章、乙方簽署之日起生效。

          This contract shall come into effect since both sides sign their names.

          十三、本合同以中文版本為準,合同一式二份,甲、乙雙方各執(zhí)一份。

          N.B. In case of divergence, the Chinese texts shall be regarded as authentic. Two originals, one for Party A, the other one for Party B.
